Suruchi Kotoky is a Partner in the General Corporate, Energy and Employment Practice of the firm, with her previous experience split between law firm and in-house role.

She brings more than a decade of rich experience in diverse project, regulatory and commercial issues, involving the power sector (with a focus on renewables), including EPC contracts, corporate transactions and general corporate advisory support. She has also handled high-stakes regulatory, investigations including fraud reporting, litigation matters and represented multinational clients in ICC arbitrations.

She read law at the Government Law College, Mumbai and holds a LL.M degree in Business Law from the University of Mumbai.

Select Experience Statement

  • Advised a leading global manufacturer, designer and supplier of battery energy storage system (BESS) in setting up 45 MW/90 MWh of BESS, including structuring and reviewing of onshore and offshore supply and commissioning contracts as well as pre-bid agreement.
  • Advised a Singapore-funded leading Indian renewable IPP in setting up of 200 MW hybrid power project in Karnataka, including drafting, reviewing and negotiating EPC contract (supply, erection and commissioning, escrow and operation and maintenance contract).
  • Advised an Indian contractor in review and negotiation of Supply, Erection and Completion of the Balance of Plant and Foundation Works for a 116.1 MW wind power project.
  • Advised a leading German pharmaceutical company in the drafting, review and negotiation of EPC contracts for the design, development, supply, installation, erection and commissioning of a multimedia energy plant.
  • Advised a Dutch cold chain logistics and supply chain in setting up of storage facility in India, including review and negotiation of (a) Design and Build Contract for General Contractor to be used for the Project; (b) Design and Build Contract for Special Contractor to be used for the Project; (c) Consultancy Agreement for certain services for the Project; and (d) Master Professional Services Agreement for certain services for the Project.
  • Advised Indo German Energy Forum and provided a detailed report on the legal aspects of setting up of Agri-photovoltaics projects in Maharashtra and Karnataka. This report was released by Joint Secretary, MNRE, NSEFI, KFW.
  • Assisted in the largest acquisition in the renewable energy sector, which involved assisting in due diligence; reviewing documents for drafting and finalization of transaction agreements, and providing legal advice on carrying out day-to-day affairs of the company for closing.
  • Advised, conducted due diligence and assisted an auditor firm in fraud reporting of a former leading NBFC under Section 143 (12) of the Companies Act, 2013.
  • Represented a renowned Italian steel company in three ICC Arbitrations in relation to disputes arising out of EPC contracts; scope of work included drafting of all pleadings including statement of claim, reply to counterclaims, opening and closing submissions and miscellaneous applications; assisted arguing counsel during hearings and advised clients on varied legal issues involved in the proceedings.
  • Advised, supported and represented a leading Indian power generator in four separate petition filed before the Central Electricity Regulatory Commission for seeking (a) relief against arbitrary levy of transmission charges/losses by transmission service licensee; (b) relaxation on the capacity of transformer for an under-construction project; (c) relief for change in law claims concerning increase in Good and Services Tax; (d) extension of scheduled commissioning date due to force majeure and change in law events.
