Suruchi Kotoky is a Partner in the General Corporate, Energy and Employment Practice of the firm, with more than a decade of extensive experience spanning both leading law firm and in-house roles.

Her practice focuses on advising domestic and multinational clients on complex corporate, commercial, regulatory and transactional matters. She regularly advises clients on a wide spectrum of general corporate advisory and governance issues. She has also handled high-stakes regulatory, investigations including fraud reporting, litigation matters and represented multinational clients in ICC arbitrations.

Recognised for her pragmatic, solution-oriented, and client-centric approach, Suruchi is known for combining commercial acumen with strong professional values and sound judgment. She believes in achieving effective and practical resolution of matters while safeguarding long-term client interests and is particularly regarded for her ability to navigate sensitive negotiations and complex disputes with clarity, integrity and strategic focus across both contentious and non-contentious mandates.

Beyond her advisory practice, she has contributed to significant policy and industry-focused initiatives, including being invited by University of Oxford to contribute to the inaugural Oxford Climate Policy Monitor in 2024, as well as advising on the legal and regulatory framework governing agri-photovoltaic projects in India. She was also recognised at the Women in Energy Forum 2024 for her exemplary contributions and leadership in shaping the future of the energy sector.

Select Experience Statement

• Advised a NYSE-listed company on a multi-million-dollar acquisition structured through a reverse triangular merger.

• Advised a leading Indian FMCG company and its German subsidiary on captive power procurement arrangements in Andhra Pradesh, including drafting and negotiating complex Power Purchase Agreements and Share Subscription & Shareholders’ Agreements.

• Advised the Indian subsidiary of a global supermajor oil company on legal opinion and solvency assessment matters concerning its contractor engagements.

• Advised multiple Independent Power Producers (IPPs) and offtakers on the drafting, structuring, and negotiation of Power Purchase Agreements across diverse commercial arrangements.

• Advised on key contractual aspects relating to CleanMax Solar MENA FZCO, as part of the IPO of CleanMax Enviro Energy Solutions Limited.

• Advising a Fortune 500 multinational conglomerate on a broad spectrum of corporate and commercial matters, including commercial contracts, employment issues, legal notices, and litigation strategy.

• Advised Indo German Energy Forum and provided a detailed report on the legal aspects of setting up of Agri-photovoltaics projects in Maharashtra and Karnataka. This report was released by Joint Secretary, MNRE, NSEFI, KFW.

• Assisted in the largest acquisition in the renewable energy sector, which involved assisting in due diligence; reviewing documents for drafting and finalization of transaction agreements, and providing legal advice on carrying out day-to-day affairs of the company for closing.

• Advised a leading global manufacturer, designer and supplier of battery energy storage system (BESS) in setting up 45 MW/90 MWh of BESS, including structuring and reviewing of onshore and offshore supply and commissioning contracts as well as pre-bid agreement.

• Advised, supported and represented a leading Indian power generator in four separate petition filed before the Central Electricity Regulatory Commission for seeking (a) relief against arbitrary levy of transmission charges/losses by transmission service licensee; (b) relaxation on the capacity of transformer for an under-construction project; (c) relief for change in law claims concerning increase in Good and Services Tax; (d) extension of scheduled commissioning date due to force majeure and change in law events.

• Advised various MNCs on a host of employment law matters, including employee disputes, disciplinary matters and separations.

• Advised a Dutch cold chain logistics and supply chain in setting up of storage facility in India, including review and negotiation of (a) Design and Build Contract for General Contractor to be used for the Project; (b) Design and Build Contract for Special Contractor to be used for the Project; (c) Consultancy Agreement for certain services for the Project; and (d) Master Professional Services Agreement for certain services for the Project.

• Advised, conducted due diligence and assisted an auditor firm in fraud reporting of a former leading NBFC under Section 143 (12) of the Companies Act, 2013.

• Represented a renowned Italian steel company in three ICC Arbitrations in relation to disputes arising out of EPC contracts; scope of work included drafting of all pleadings including statement of claim, reply to counterclaims, opening and closing submissions and miscellaneous applications; assisted arguing counsel during hearings and advised clients on varied legal issues involved in the proceedings.
