Sharmil Bhushan is a Partner within the Banking & Finance team at Kochhar & Co. in the Firm’s Mumbai office.

With over 16 years of experience, her practice spans banking and finance, investment funds, financial services, mergers & acquisitions, takeovers, private equity, structuring and funds formation, inbound and outbound investments, securities market, strategic alliances, joint ventures, corporate and debt restructuring, resolution of distressed assets, enforcement of security, insolvency proceeding, general corporate and commercial transactions.

Sharmil regularly advises Indian and multinational banks, NBFCs, financial institutions and their branches situated in International Financial Service Centres, GIFT City and corporates across sectors on various aspects of Indian law, including capital expenditure, project and acquisition financing, leveraged buyouts, and the structuring and implementation of debt, quasi-debt, and equity transactions.

She has been actively involved in debt restructuring and security enforcement assignments as well as the insolvency resolution process under the Insolvency and Bankruptcy Code, She also advises on the establishment of private equity funds, offshore funds, venture capital funds, alternative investment funds (AIFs), infrastructure investment trusts (InvITs), and real estate investment trusts (REITs).

Her corporate advisory work encompasses deal structuring and conceptualization, negotiations, documentation, and the closing of corporate and commercial transactions, including the monitoring of pre- and post-closing obligations. She has considerable experience assisting investors in devising and implementing exit strategies from Indian investments, and routinely advises Boards of listed and unlisted companies on governance and related issues

Sharmil is a regular contributor to legal academia and visits law colleges and business schools across India as an honorary professor.

• Represented an Indian conglomerate in relation to acquisition/setting-up of its financial services vertical including insurance broking, alternate investment funds, mutual fund, non-banking finance company, housing finance company, forex company - AD II category license engaged in foreign exchange business, portfolio management services, investment banking, etc.
• Represented an Indian bank in relation to INR 6.55 billion term loan facility (along with non- fund-based sub limits for cash credit and bank guarantee) extended to a company for constructing and setting up of the LPG terminal in Gujarat.
• Represented an Indian bank in relation to INR 2.70 billion term loan facility (along with non-fund-based sub limits for letter of credit and bank guarantee) extended to various SPVs under an obligor and co-obligor structure for setting up logistics projects in different parts of India.
• Represented a consortium of financial institutions in relation to secured lease rental discounting facilities of an aggregate amount of INR 9.00 billion to a reality group.
• Represented an offshore fund in relation to assignment of INR 20 billion loan book by a non-banking finance company to a trust pursuant to the securitization guidelines issued by the Reserve Bank of India.
• Represented a Financial Institutions in relation to structured financing transactions to various borrower groups.
• Represented a BFSI regulatory advisory in relation to issues concerning Reserve Bank of India, Insurance Regulatory and Development Authority, Securities and Exchange Board of India, International Financial Services Centres Authority and other relevant government authorities concerning BFSI sector.
• Represented an Indian conglomerate in relation to setting-up renewable power projects in various states in India, raising of equity/debt capital, provisions of insurance, assignment of receivables and insurance proceeds, drafting and negotiating various project related contracts, and providing end-to-end support in relation to commissioning of the projects.
