Kochhar & Co. represented Bytewave Digital in a recent transaction involving its acquisition by SADA Systems Inc. SADA is a leading business & technology consultancy and Google Cloud Premium Partner worldwide. On the other hand, Bytewave is an innovative technology services provider in India helping customers adopt, build, migrate and run enterprise business solutions on Google Cloud and Google Workspace.

The deal was structured as a 100% share purchase transaction. Upon conclusion of the transaction, Bytewave has become a fully owned subsidiary of SADA, integrating its professional services, engineering, and support for 24-hour assistance to qualified customers worldwide. This acquisition is of strategic importance to SADA since it provides them a foothold in India & Asia-Pacific region and access to the vast talent pool in India.

The transaction was led by Senior Corporate Partner, Kochhar & Co. Chennai office, Ajith CR.

The Firm provided end-to-end support to Bytewave from the initial stages until Closing of the transaction, The assistance provided include strategic/structuring advice, regularisation of compliance issues, advice on taxation, foreign investment guidelines and other regulatory aspects, review, negotiation & finalisation of the transaction documents and providing of support with respect to Closing & post-Closing formalities.
