Kochhar & Co. was engaged by Zebra Technologies Corporation to assist and advise on the India leg of this significant cross-border global transaction involving multiple jurisdictions. The Firm aided in performing a comprehensive due diligence on Reflexis Systems Inc’s Indian subsidiary, which covered areas such as corporate, employment, real estate, Intellectual property, litigation etc., and helped in pointing out concern areas that needed rectification. Our team was also involved in review of the merger agreement and other ancillary transaction documents, from India law perspective which involved advise on employment, corporate and intellectual property related issues. We drafted all corporate documents required to complete the India leg transaction which included changing the board of directors and transfer of shares of the Indian subsidiary. The Firm assisted in successfully closing the India leg of the transaction under tight timelines.
