Vijay is a Senior Partner in the Corporate practice of the Firm. He is a member of the Firm’s Employment, Corporate/M&A and Tax practice groups.

Vijay co-chairs the employment law practice of the Firm and regularly advises multinational corporations on critical issues including but not limited to employee retrenchment, disputes with trade unions and conciliation proceedings conducted by Indian labour commissioners. Vijay’s practice primarily focuses on dispute management and resolution, employee alignment strategies and the development of tailored and compliant employment practices and policies. He also regularly advises corporate clients on the employee relations implications of operational restructures, outsourcing, acquisitions and divestments, stock option schemes, labour and employment law compliances in India both at the federal and state level. He has also advised clients on sensitive issues involving closure of undertakings and transfer of employees.

Vijay offers clients an in depth understanding of the options available under the prevailing industrial regime for the effective implementation of both collective and individual employment arrangements. Vijay is recognised by the clients as an experienced lawyer who handles difficult and sensitive employment matters with gravitas and finesse.
In addition to his employment law practice, Vijay has extensive experience in representing domestic and foreign corporations in M&A deals in India. He has advised clients across diverse sectors on all aspects pertaining to joint ventures, inbound investments and acquisitions (including stock purchase and business transfers).
He has been closely involved in transactional matters including advising on entry strategies for foreign entities, corporate restructuring, advise on foreign equity participation and attendant regulatory issues, investment options and vehicles, compliances, regulatory approvals pertaining to foreign investment and assisting clients during negotiations in the course of acquisitions and other business transactions.

Vijay’s qualification as a Chartered Accountant gives him an edge in understanding tax aspects in any transaction / matter. Vijay routinely advises clients on tax implications relevant to their business operations in India including issues related to permanent establishment in India, tax efficient investment jurisdictions, structuring transactions to reduce the impact of taxation and expatriate taxation.

Select Experience Statement

Employment Law

  • Advised a Belgian bank in closure of its branch office in India, including undertaking extensive negotiations with the trade union representing its employees and representing the client before the labour authorities in conciliation proceedings with the trade union.
  • Represented the Indian subsidiary of a US client before Courts in Chandigarh and successfully restrained former employees of the client from carrying out a competing business by using the client’s confidential information and soliciting its clients.
  • Assisted the Indian subsidiary of a German company with complex employment law issues including temporary lay-off during the Covid-19 pandemic and retrenchment of employees. The legal support included representing the client before the labour authorities and Courts as a result of legal proceedings initiated by the trade union.
  • Advised the Indian subsidiary of a large US multinational which is in the travel and tourism industry and was been severely hit by the Covid-19 pandemic and resultant lockdowns in several countries. Provided pragmatic and legal advice to the client in implementing a number of strategic measures including a reduction in the workforce, salary reductions, a voluntary separation scheme, part-time working arrangements and sabbaticals.
  • Assisted the Indian subsidiary of a Spanish retail company in carrying out inquiry into allegations of improper conduct by an employee and terminating the employment relationship following conclusion of the investigations.


  • Advised a US client, engaged in providing biopharmaceutical services, in a USD 100 million acquisition of the business of an Indian entity.
  • Advised a large Japanese corporation in its joint venture with an Indian entity in the business of logistics.
  • Advised the Indian subsidiary of a Singapore client in its USD 40 million proposed acquisition of the IT infrastructure distribution, cyber security, networking and storage management services business of an Indian company.
  • Advised an Italian client in acquisition of equity stake from its Indian joint venture partner. Also, assisted the client in negotiating revised shareholder rights and obligations following the change in shareholding proportion.
  • Advised and supported an Indian client in the sale of its solar power business to a Singapore headquartered company.
